Traxxbox service — background music and video for professionals. Download the PDF (French)

Art. 1 Purpose and scope

1.1 These general terms (hereinafter “GTS”) govern the relationship between iTekk Sàrl, Rue du Stand 51, 1204 Geneva (hereinafter “iTekk”) and its customers for the Traxxbox service, formerly marketed under the brands Skuizz Box and MuzzicBox.

1.2 The Traxxbox service is intended exclusively for professionals (shops, public venues, companies and institutions) for background playback on their premises.

1.3 In the event of conflict, the order of precedence is: (i) the subscription contract and any appendices, (ii) these GTS. The customer’s general terms do not apply unless accepted in writing by iTekk.

Art. 2 Definitions

2.1 Customer: the natural or legal person who concludes a subscription contract with iTekk and benefits from the Programmes.

2.2 Third-party payer: any natural or legal person who, without benefiting from the Programmes, undertakes to pay, alone or jointly with the Customer, the amounts due under the contract.

2.3 Programmes: the audio and, depending on the plan chosen, video programmes produced and streamed continuously by iTekk over the internet under the Traxxbox brand (hereinafter the “programme package”).

2.4 Player: the equipment or app used to receive the Programmes (in particular a Barix-type network player or the Traxx app).

2.5 Venue: the premises designated in the subscription contract where the Programmes are played.

Art. 3 Conclusion of the contract

3.1 The contract is concluded when the subscription contract is signed by the Customer and by iTekk, in original, by electronic signature or by accepting the offer online on traxxbox.com. Signing the contract constitutes acceptance of these GTS.

3.2 Unless stated otherwise, each signatory is deemed to act in the name and on behalf of the Customer and to have the authority required to bind it.

Art. 4 Services

4.1 iTekk provides the Customer with one or more linear Programmes, compiled and scheduled by iTekk according to the agreed musical profile. The service is not an on-demand service: the Customer does not select the tracks played.

4.2 Depending on the plan and options chosen, the service may include in particular: automatic scheduled programming (Timer), sound branding, custom jingles or messages, a video channel, several playback zones, and support (hotline) by chat and/or phone.

4.3 Programming is determined freely by iTekk, which takes reasonable account of the style preferences expressed by the Customer. The Customer may not demand that a specific track or artist be played.

4.4 iTekk may change, extend or reduce the programme package. Any substantial change reducing the subscribed services is announced to the Customer at least 30 days in advance; the Customer may then terminate the contract with effect from the date of the change.

Art. 5 Equipment, installation and hardware

5.1 To receive the Programmes, the Customer must have, at its own expense, a stable broadband internet connection, a sound system (amplifier, speakers) and, for video options, a suitable screen.

5.2 Depending on the contract, the Player is (a) provided by iTekk and included in the subscription, (b) lent for a trial period under a loan agreement, or (c) sold to the Customer under a sales contract.

5.3 Hardware provided remains the property of iTekk. The Customer takes care of it, does not open or modify it and does not move it out of the Venue without consent. At the end of the contract, the Customer returns it complete and in good condition within 30 days; failing this, the replacement value stated in the contract is invoiced.

5.4 Loss, theft or damage of hardware provided, other than normal wear and manufacturing defects, are borne by the Customer.

5.5 Hardware sold by iTekk is guaranteed for 12 months from delivery against manufacturing and material defects, under the terms of the sales contract. Outside the guarantee, repairs are invoiced at iTekk’s rates.

5.6 On-site installation is invoiced according to the contract. iTekk is not responsible for the Customer’s electrical installation, IT network or sound system.

Art. 6 Term, renewal and ordinary termination

6.1 The contract is concluded for the minimum term stated in the subscription contract (12, 24 or 36 months) from the date the Programmes are activated.

6.2 Unless iTekk receives notice of termination at least three months before expiry, the contract is tacitly renewed for a further 12 months, and so on.

6.3 Termination must be notified in writing, by registered letter or by email acknowledged by iTekk, by the Customer or the Third-party payer. The Customer may not assert any claim against iTekk as a result of termination by the Third-party payer.

Art. 7 Prices and price adjustments

7.1 The prices of the subscription, options and additional services are set in the subscription contract. They are in Swiss francs (CHF), excluding VAT; VAT is charged in addition at the applicable legal rate.

7.2 iTekk may adjust its prices. The Customer is informed in writing (including by email) at least two months before the new rate takes effect. In the event of an increase, the Customer may terminate the contract in writing with effect from that date; if no termination is received at least two weeks before that date, the new rate is deemed accepted.

7.3 Changes in the VAT rate or any other statutory charge are passed on without notice and do not give a right to terminate.

Art. 8 Invoicing and payment

8.1 The subscription is payable in advance, at the frequency chosen: monthly (Basic plan only, by automatic card payment) or yearly. Prices and the discounts for the commitment term and yearly payment are stated in the subscription contract and published on traxxbox.com.

8.2 For the Basic and Pro plans, the activation fee and provision of the player are free unless otherwise stated in the contract; the player remains the property of iTekk (art. 5). The first invoice or first payment covers the first subscription period and, where applicable, installation and the price of any hardware purchased.

8.3 Payment is made online by card through our payment provider or, for yearly payment, on invoice payable within 30 days net by QR-bill or bank transfer. A receipt is issued for every payment. Prices are excluding VAT (art. 7.1).

8.4 In case of late payment, the Customer is in default upon the due date without further notice. A flat reminder fee of CHF 50.– may be charged from the second reminder, plus default interest of 5% per year (art. 104 Swiss Code of Obligations).

8.5 Any reactivation of the service after suspension or termination due to the Customer’s breach is charged CHF 50.– excl. VAT.

8.6 The Customer or the Third-party payer named in the contract is solely responsible for paying all amounts invoiced. Subject to the Third-party payer’s payment obligation, the Customer is liable for all obligations arising from the contract.

Art. 9 Availability, maintenance and support

9.1 iTekk uses reasonable efforts to ensure the continuity of the Programmes (best-efforts obligation). Short interruptions due to maintenance, updates or third parties cannot be entirely ruled out; planned maintenance is, as far as possible, carried out outside usual opening hours.

9.2 Support is provided according to the plan subscribed (chat and/or phone), on the working days and hours shown on traxxbox.com.

9.3 If the Programmes are unavailable through iTekk’s fault for more than 72 consecutive hours, except in cases of force majeure, the Customer is entitled, on written request sent within 30 days, to a reduction of the subscription in proportion to the duration of the interruption, to the exclusion of any other claim.

Art. 10 Liability

10.1 iTekk is not liable in particular for:

10.2 To the extent permitted by law, iTekk’s liability is limited to proven direct damage and capped at the subscription amount paid by the Customer for the last 12 months. Any liability for indirect or consequential damage, in particular loss of turnover or profit, is excluded. Liability for wilful misconduct or gross negligence is reserved (art. 100 Swiss Code of Obligations).

10.3 Force majeure (natural disasters, pandemics, conflicts, cyberattacks, general network outages, decisions by authorities, etc.) releases iTekk from its obligations for the duration of the impediment.

Art. 11 Customer’s obligations

11.1 The Customer uses the service in accordance with the contract and these GTS, exclusively in the designated Venue and for background playback.

11.2 The Customer refrains from any abusive or fraudulent use, in particular: retransmitting, rebroadcasting, recording, copying or making the Programmes available to third parties or other sites, disclosing its access details or the stream addresses to third parties, or circumventing technical protection measures.

11.3 The Customer immediately informs iTekk of any change of company name, address, Venue or billing details.

11.4 The contract is personal. The Customer may not assign it or transfer its benefit to a third party without iTekk’s written consent, in particular when the business is handed over.

Art. 12 Copyright and related rights

12.1 The Programmes and their components (works, recordings, tracks, trademarks, logos, texts, images, sound branding) are protected. All rights are reserved to iTekk or to their respective holders.

12.2 Public playback of the Programmes in the Venue (background music or television) is subject to the Swiss Federal Copyright Act (CopA). The Customer is solely responsible for obtaining the corresponding authorisation and paying the fees due, as a rule to SUISA under Common Tariff 3a (CT 3a), SUISA acting for all collecting societies concerned. The Traxxbox subscription does not replace this licence.

12.3 iTekk pays the rights for which it is liable as broadcaster of the Programmes.

12.4 The Customer fully indemnifies iTekk, its officers and staff against any consequence, claim, damage or cost (including court and legal fees) resulting from the Customer’s failure to comply with the CopA.

Art. 13 Suspension of the service

13.1 iTekk may suspend access to the Programmes, after a warning by email where circumstances allow, without compensation to the Customer, in the event of:

13.2 Suspension does not interrupt the obligation to pay the subscription.

Art. 14 Extraordinary termination

14.1 In the event of a serious breach of the contract by one party, the other party may terminate it with immediate effect if the breach has not ceased within 7 working days of a written formal notice.

14.2 iTekk may also terminate the contract with immediate effect in the event of the Customer’s bankruptcy, composition moratorium or cessation of business.

14.3 In the event of termination attributable to the Customer, the amounts due until the ordinary contractual expiry become immediately payable, subject to additional damages. Article 5.3 applies to the return of hardware.

Art. 15 Data protection

15.1 iTekk processes the personal data of the Customer and its contacts in accordance with the Swiss Federal Act on Data Protection (FADP), solely for the purposes of performing the contract, invoicing, support, technical monitoring of the service and customer relations.

15.2 iTekk may use processors (hosting, streaming, invoicing, CRM), as a rule based in Switzerland or the European Economic Area and bound by confidentiality obligations. Technical playback data (Player status, IP address, listening statistics) are used to provide and improve the service.

15.3 Details are given in the privacy policy published on traxxbox.com.

Art. 16 Communications and form

16.1 Communications between the parties may be made by email to the addresses stated in the contract, unless otherwise provided in these GTS.

16.2 Any amendment to the contract requires written form; electronic signatures and exchanges of emails confirmed by both parties are deemed equivalent to written form.

Art. 17 Amendment of the GTS

17.1 iTekk may amend these GTS. Amendments are communicated to the Customer at least 30 days before they take effect. If they are unfavourable to the Customer, the Customer may terminate the contract in writing with effect from that date; otherwise they are deemed accepted.

17.2 The current version of the GTS is published on traxxbox.com.

Art. 18 Final provisions

18.1 The subscription contract and these GTS constitute the entire agreement between the parties and supersede any prior agreement, oral or written, on the same subject.

18.2 If any provision proves void or unenforceable, the validity of the other provisions is not affected. The provision concerned is replaced by a valid provision that comes as close as possible to its economic purpose.

18.3 iTekk may transfer the contract to a company taking over the Traxxbox business, subject to informing the Customer in writing.

Art. 19 Applicable law and jurisdiction

19.1 The contract is governed by Swiss law, excluding the Vienna Convention on the International Sale of Goods. The exclusive place of jurisdiction is Geneva (Switzerland), subject to appeal to the Federal Supreme Court.

iTekk Sàrl — Geneva, October 2026. These GTS replace the MuzzicBox general terms of subscription.
